Vendor Terms

These Vendor Terms apply to vendors, service providers, subcontractors, and other third-party providers who apply to work with or accept project opportunities through Gexis Projects LLC.

1. Independent Business Status

Vendors are independent businesses or individuals and are not employees, agents, partners, or joint venture partners of Gexis Projects LLC. Vendors control their own methods, tools, equipment, transportation, staffing, scheduling availability, and performance of the work, subject to the accepted project scope and customer access requirements.

2. No Employment Relationship

Nothing in these Vendor Terms creates an employment relationship. Gexis Projects does not control the vendor's day-to-day work methods, means, techniques, procedures, or supervision of vendor's employees or subcontractors. Vendors are solely responsible for their own taxes, including self-employment taxes, and for compliance with all applicable employment and labor laws.

3. Right to Accept or Decline Work

Vendors may accept or decline project opportunities. Acceptance of a project is not guaranteed and does not create an exclusive relationship with Gexis Projects. Gexis Projects does not guarantee any minimum number of jobs, income, schedule, territory, or project volume.

4. Insurance, Licenses, and Permits

Vendors are responsible for maintaining all insurance, licenses, permits, certifications, approvals, and registrations required for their business, trade, service type, and location. Gexis Projects may request documentation before scheduling where applicable.

Some services may require specific licenses, permits, insurance, building approvals, management approval, or other documentation depending on the project scope, location, property type, and applicable rules. Vendors are responsible for identifying and meeting those requirements.

Vendors must provide updated insurance, license, permit, tax, business, or compliance documentation upon request when applicable.

5. Vendor Employees and Subcontractors

Vendors are solely responsible for any employees, helpers, subcontractors, or workers they use, including wages, taxes, insurance, workers' compensation, supervision, safety, and compliance with applicable laws. Gexis Projects has no responsibility for vendor employees, helpers, or subcontractors.

6. Summary of Vendor Responsibilities

As a vendor working through Gexis Projects, you are solely responsible for:

  • Your own taxes, including self-employment taxes
  • Your own insurance coverage, including general liability and workers' compensation where required
  • Licenses, permits, and certifications required for your trade or service type
  • Your own tools, equipment, materials, and transportation
  • Any employees or subcontractors you engage
  • Compliance with all applicable federal, state, and local laws
  • Job quality and any damages caused by your work
  • Your own safety and the safety of your workers on the job site

7. Accurate Information

Vendors must provide accurate and complete business information when applying and throughout their time in the network. Misrepresentation of credentials, experience, insurance, or licensing is grounds for immediate removal from the platform.

8. Project Scope and Acceptance

Vendors must review and accept the project scope, timing, customer requirements, access details, and agreed compensation before starting work.

Vendors must notify Gexis Projects of any scope changes, unsafe conditions, missing information, required approvals, or additional labor or materials before proceeding.

9. Damage, Claims, and Indemnification

Vendors are responsible for damage, injury, loss, claims, fines, penalties, or disputes arising from their work, negligence, misconduct, failure to follow applicable laws, or failure to maintain required insurance, licenses, permits, or approvals. Vendors agree to indemnify and hold harmless Gexis Projects LLC from claims arising from vendor's work or conduct to the fullest extent permitted by law.

10. Non-Circumvention / Customer Protection

Vendors may not bypass Gexis Projects, solicit customers introduced through Gexis Projects, accept direct work from such customers, or attempt to avoid Gexis coordination, fees, or platform rules without written permission from Gexis Projects LLC.

Vendors must treat customers and their property with respect at all times.

11. Job Performance

Vendors are responsible for the quality of their work and any damages caused by their performance on the job. Gexis Projects may remove vendors from the platform for poor performance, unsafe work, customer complaints, misrepresentation, or violation of these terms.

12. Platform Removal

Gexis Projects reserves the right to remove any vendor from the platform at any time for reasons including but not limited to: poor performance, unsafe work practices, customer complaints, lack of required insurance or licensing, misrepresentation, or violation of these terms.

13. Changes to These Terms

We may update these Vendor Terms from time to time. Continued participation in the Gexis Projects network after changes are posted constitutes acceptance of the updated terms.
